Head of Governance required for established, expanding and profitable London market insurance business.  Role will be responsible for all matters relating to the operation of the Companies’ Governance compliance activities and to provide support to the wider group.

 Governance:

  • Operation of a governance framework that is compliant with Lloyd’s minimum standards for Governance
  • Promoting good standards of corporate governance
  • Managing the ongoing relationship with Supervisory Bodies (FCA, PRA, Lloyd’s)

Compliance:

  • Responsible for establishing and operating a compliance framework within the Company
  • Responsible for establishing and operating a Conduct Risk framework within the Company
  • Presenting to the Board annual compliance strategy & plan
  • Reporting on compliance activities as appropriate to the Board and Committees
  • Discharging duties of the Money Laundering Reporting Officer in respect of all aspects of financial crime
  • Owner of Compliance Framework; Manage the Lloyd’s business timetable
  • Undertake all aspects of Syndicate monitoring

Company Secretarial:

  • In conjunction with the Chairman and Managing Director, agreeing Board agendas
  • Supervising the preparation and circulation of Board & Committee papers
  • Supervising the provision of accurate and appropriate Board & Committee minutes
  • Monitoring changes in relevant legislation and advising on the appropriate action
  • Compliance with all Companies Acts matters including filings and statutory registers
  • Manage an Assistant Company Secretary

The successful candidate will have:

  • Excellent knowledge of governance requirements and practices within the UK insurance market (Lloyds managing agency experience not essential)
  • Excellent knowledge of UK, Lloyd’s and European Insurance regulation
  • Understanding of Company Secretarial issues; attendance at Board and Committee meetings
  • Experience of Solvency II and Conduct risk
